C2MRewards Terms & Conditions

1.    The C2MRewards program is open only to current affiliates and/or publishers who are in good standing with Convert2Media.

2.    The C2MRewards Terms & Conditions does not serve as an amendment to the Convert2Media Terms & Conditions or any other agreement(s) with any affiliate of Convert2Media, but rather constitutes solely a unilateral offer for any affiliates or publishers of Convert2Media. The affiliate indicates its agreement with the terms and conditions herein solely through its participation in Convert2Media and its participation in the C2MRewards program. Convert2Media reserves the right at its sole discretion to alter, amend, or terminate the C2MRewards program at any time. 

3.    Affiliates shall be granted rewards based on the amount of revenue earned by an affiliate in a calendar month. The amount of revenue earned by an affiliate in a calendar month, for purposes of the C2MRewards program, shall be determined solely by Convert2Media. The amount of revenue earned by an affiliate in a calendar month shall not be final until the end of the first business day of the calendar month one month from the end of month in which the revenue is earned (the "review period"). During the review period, Convert2Media may review, audit, or otherwise revise the amount of revenue earned by an affiliate in a calendar month if, in Convert2Media's sole discretion, some or all of the revenue earned by the affiliate resulted from fraud, a breach of the program terms of an offer, a breach of the Convert2Media's Terms and Conditions, or is otherwise subject to a dispute with Convert2Media or an advertiser on Convert2Media Network. The amount of revenue earned by an affiliate in a calendar month shall not carry over to subsequent months, even if such revenue exceeds the amount necessary for any or all rewards in a calendar month.

4.    Convert2Media reserves the right to at its discretion change the amount of revenue required for each reward level and the rewards available for each reward level, and the applicable amount of revenue for a given month shall be the amount listed on the Convert2Media Network website on the C2MRewards webpage as of 12 P.M. EST on the final business day of the calendar month in which the award is earned. These rewards are in addition to the monetary compensation due to the affiliate, if any. The rewards available for each reward level shall be the rewards listed on the Convert2Media website on the C2MRewards webpage as of 12 P.M. EST on the final business day of the calendar month in which the award is earned.

5.    Each affiliate may select a reward or rewards it has earned, as indicated on the descriptions of the reward levels on the C2MRewards webpage. Convert2Media shall set forth the methods by which an affiliate can claim its chosen rewards on the Convert2MediaReward webpage, which may include submitting the choice via telephone, email, postal mail, or website form.

6.    For each reward selected, the affiliate may be responsible for applicable costs, expenses, taxes, fees, or shipping and handling costs (collectively "costs"), unless otherwise stated on the description of the reward on the C2MRewards webpage. If additional costs are associated with a reward, Convert2Media shall contact the affiliate to arrange for payment of those costs by the affiliate, if necessary. 

7.    Convert2Media shall have no obligation to provide a particular reward if that reward is no longer available, and Convert2Media may, at its sole discretion, substitute another reward at the same reward level in the event a particular reward is unavailable.

8.    Convert2Media expressly disclaims all representations and warranties not explicitly made herein in connection with the C2MRewards program, including implied warranties for a particular purpose and warranties of merchantability. In no event shall Convert2Media's liability to the affiliate exceed the fair market value of the reward chosen by the affiliate. 

9.    Neither the C2MRewards program nor any other agreement with the affiliate shall create an employment relationship or joint venture with the affiliate, unless the agreement otherwise explicitly so states. The parties intend in the C2MRewards Terms & Conditions to operate solely as independent contractors.
